Since it is recorded under &#8216;Assets&#8217;, does it mean that the firm expects a future cash influx? In essence, what is the goodwill representative of a company?</span></p><p><span style="font-weight: 400">For investors, this type of goodwill is known as &#8220;accounting goodwill&#8221; and plays a vital role in decision making during a merger or acquisition project. 					<div class="elementor-text-editor elementor-clearfix"><h2><b>Goodwill in the financial statements</b></h2><p><span style="font-weight: 400">Because goodwill is an elusive asset, it is recorded on the balance sheet as a noncurrent asset. A noncurrent asset is a long-term asset like fixed assets such as property, plant, and equipment.  The goodwill entered in the books may not realise any cash profit in the future. Thus, a company&#8217;s valuation should be calculated using the book value method based on its total assets. </span></p><p><span style="font-weight: 400">For example, if the company&#8217;s total assets are shown to be $1 billion on its balance sheet, and the goodwill value is $200 million, the net asset value is $800 million, and the net asset value per share is adjusted accordingly.</span></p><p><span style="font-weight: 400">A vital conclusion that you can draw from this is that if it increases year on year, that does not mean that the company&#8217;s reputation in the market has improved. It only means that the company is involved in numerous take-overs and mergers. </span></p><p><span style="font-weight: 400">In addition, a decline in goodwill does not necessarily mean that the company&#8217;s reputation has deteriorated from year to year. It just means that the corporation is gradually writing off the goodwill from its balance sheet.</span></p><h2><b>Looking beyond the annual report </b></h2><p><span style="font-weight: 400">As we have established, goodwill is an intangible asset of a company that plays a phenomenal role in enhancing its earnings. It is a factor that gives a company an edge over the competition. It could be brand value, usability, product buying habits or customer loyalty. Goodwill reflects elements that you cannot measure. Hence, these are not a component of the <a href="https://dutchuncles.in/academy/asset-management-company-maximising-returns-through-their-diversified-portfolio/">company&#8217;s yearly report</a>.</span></p></div>

Number crunching is essential, but the most critical factor in your investment decision is not a number. It is something that must be felt and analysed. New and seemingly revolutionary products in the market that make things easy for the masses are most commonly the multibaggers of the future. Some of today&#8217;s biggest companies, including Facebook and Amazon from the west, and Zomato, Paytm, and Zerodha from India, among others, are live examples of multi-baggers that rose from the space of easing public needs.</span></p><p><span style="font-weight: 400">If you search in the estimates, you will not find the entire genuine commercial value there. Try to investigate a business with the potential of its intangible assets. Try to look for the channel of the company, the contentious influence it has over others. The annual report might state a company&#8217;s past and prospects, but it cannot ascertain its fate.</span></p></div>

					<div class="elementor-text-editor elementor-clearfix"><p><span style="font-weight: 400">If you are following stock market updates, you must have heard the buzz around these two recent cases:</span></p><p><span style="font-weight: 400">Standard life sold 10.65 million shares or a 4.99 percent stake in HDFC Asset Management Company at Rs. 2,873.8 apiece through a bulk deal on the BSE.</span></p><p><span style="font-weight: 400">Nalanda India Equity Fund sold 517,765 shares of Just Dial at Rs. 991.4 apiece through a bulk deal on the National Stock Exchange.</span></p><p><span style="font-weight: 400">The above two cases are examples of bulk deals happening in the stock market. </span></p><p><span style="font-weight: 400">There have been several such instances when we are up in the morning to get the news of huge movement happening in the stock markets whether positive or negative within a few minutes of market opening and eventually setting the pace for the market. </span></p><p><span style="font-weight: 400">What is this market phenomenon that involves a huge volume of shares being traded? </span></p><p><span style="font-weight: 400">The investors of the stock market comprise retail investors and large institutions involving investment banks, mutual funds, hedge funds, pension funds, foreign institutional investors (FIIs), high net worth individuals (HNIs), company promoters, etc. The latter set of investors have deep pockets and intensive knowledge of companies which is sometimes not available to the retail investors. Leveraging their knowledge and money they conduct share transactions of high value. There are two types of transactions done by large and institutional investors – block deal and bulk deal. Let us delve deeper to know what they are and how such heavy deals impact the market. </span></p><h2><b>What is a block deal? </b></h2><p><span style="font-weight: 400">It is a transaction that involves either a minimum quantity of 500,000 shares or a minimum order value of Rs 10 crore between the two parties. The agreed parties buy or sell shares at a predetermined price. Block deals have two separate trading windows of 15 minutes each meaning within the said time the deal needs to happen. The first trading window opens in the morning from  8:45 AM to 9:00 AM and the second trading window opens in the afternoon from 2:05 PM to 2:20 PM. The idea of keeping separate trading windows is to ensure confidentiality of the large trades, transparency, and curb unnecessary volatility while trading such a large number of shares. </span></p><p><span style="font-weight: 400">Block deals are transacted concerning a block reference price. For the morning trading slot, the reference price of the share will be the previous day’s closing price of the stock. The reference price of stocks for afternoon trading will be based on the volume-weighted average market price (VWAP). This deal is a single transaction and does not appear in the normal trading window for retail investors to see.</span></p><p><span style="font-weight: 400">Before initiating block trades, the parties are supposed to inform the stock exchanges. </span></p></div>

There are no separate trading windows and the trading happens during normal trading hours. Unlike block deals it is visible to the retail investors and the trading is reflected on the volume charts in trading platforms. The broker participating in the bulk deal trade has to provide the details of the transaction to the stock exchanges whenever they take place. Investors can find out the number of shares traded in bulk deals, provided that he/she already knows a company’s total outstanding shares. However, if the stock&#8217;s price goes up, the trader may reduce or eliminate his exposure to a short position. This is called short covering.</span></p><p><span style="font-weight: 400">Let us understand the working process of the <a href="https://dutchuncles.in/academy/short-selling-short-covering-and-short-squeeze-a-basic-guide/">short-covering </a>practice in the stock market.</span></p><h2><b>Price increment in short positioning</b></h2><p><span style="font-weight: 400">Prices are expected to fall during short positioning. Traders register a profit if a stock’s price falls. But if the price rises, they can encounter severe losses. Therefore, they may rush to exit the short position by buying back the stock. But as the demand goes up, the stock’s price rises too. This results in a short-covering rally.</span></p><p><span style="font-weight: 400">Short covering is how short position traders in the market settle their trade; the buy transaction closes out their initial sell order. Short covering is a unique situation where people start buying to settle their positions. </span></p><p><span style="font-weight: 400">Since many people buy, this increases the stock price in the short term. However, this price increase does not last long; it increases only due to demand-supply mismatch in the short time.</span></p><h2><b>Example of short covering</b></h2><p><span style="font-weight: 400">For example, a trader shorts 1,000 shares of Asian Paints at Rs. 330 per share, assuming the share price will drop. Instead, the price rises to Rs. 350 per share. To cover their short position, the trader purchases 1,000 shares of Asian Paints at Rs. 350 per unit. In this situation, s/he makes a loss of Rs. 20,000 i.e. (350 – 330) x 1,000 shares. </span></p><p><span style="font-weight: 400">However, if the price of Asian Paints had dropped to Rs. 300, they would have covered the short at that price and made a profit of Rs. 30,000 i.e. (330 – 300) X 1,000 shares.</span></p><p><span style="font-weight: 400">Thus, short-covering helps traders protect themselves against potential losses if the market moves against them.</span></p></div>

Traders can make a profit by participating in short trading without the need for short covering. Short sellers make a profit by selling short and repurchasing shares at reduced prices. This also increases supply, so there is the potential to push a stock down.</span></p><p><span style="font-weight: 400">However, buying shares for short covering has a different impact on the market than trading through regular buy orders. If many people buy simultaneously, there is a greater demand for a stock and can lead to profit costs (reduction).</span></p><p><span style="font-weight: 400">Or worse, it can potentially trigger a short squeeze. When several short sellers close simultaneously, a <a href="https://dutchuncles.in/academy/what-is-short-selling-all-you-need-to-know/">short contraction </a>occurs. As everyone tries to buy to close their positions, the demand rises, and so does the stock price.</span></p><p><span style="font-weight: 400">The short covering can occur on its own when a stock with high short interest is forced to a &#8220;buy-in&#8221;. The term refers to a situation when the broker temporarily closes the position. In this case, it is difficult to borrow the securities, and the creditors demand payment. This happens with less liquid shares that have even fewer shareholders.</span></p><p><span style="font-weight: 400">In a nutshell, to indulge in the short trade and related practices successfully, it is crucial to understand the way the stock market works and seek expert guidance in case of doubts to avoid significant losses in volatile situations.</span></p></div>

The reasons for its massive growth can be attributed to the breaking of joint families to nuclear, the emergence of commercial spaces like malls and offices, and the interest of international investors to shift their investment from China to India as that would require more offices to set up. But, investment in the real estate sector is laden with presumptions like a huge initial capital is required to invest and this is what prevents them from investing. In mutual funds, investors do not invest directly in securities but their funds are invested in stocks whose dividends or profits are distributed. In a similar fashion to investing in REIT, the funds are invested by that trust to build and finance various real estate projects such as hotels, malls, offices, IT parks, residential properties, and other commercial spaces. It cannot invest in vacant or agricultural land provided there is a project involved. REIT is a company that makes investments in income-producing real estate. So far only three REITs on the Indian exchange are listed – Embassy office parks, Mindspace office parks, Brookfield India Real Estate.</span></p><p><span style="font-weight: 400">This real estate investment is ideal for investors who do not have deep pockets to invest in direct real estate. The beauty in this investment lies in an investor being able to invest with a minimum of Rs 2 lakh. </span></p><p><span style="font-weight: 400">There are three types of REIT:</span></p><p><b>Equity REIT:</b><span style="font-weight: 400"> In this, the trust uses an investor’s funds in building or purchasing commercial spaces like malls, hotels, SEZs or offices, etc. The trust here generates income through rent or sell properties that are further distributed to the investors as dividends or returns.</span></p><p><b>Mortgage REIT:</b><span style="font-weight: 400"> In mortgage REIT, the trust collects the funds from the investors to lend loans to a different investor or a different builder at a certain interest. The trust here earns dividends for its investors through interest applied to the loan lent. </span></p><p><b>Hybrid REIT:</b><span style="font-weight: 400"> They are a combination of the above two where the trust can either lent loans to other investors or can invest in building and purchasing properties. </span></p><h2><b>REIT vs direct real estate – the ideal investment </b></h2></div>

But, the pandemic led several offices to allow their employees to work from home thereby, shrinking the demand for office spaces. Frequent lockdowns have also impacted malls and other commercial spaces. However, in the post covid scenario, commercial<a href="https://dutchuncles.in/aspire/an-insight-into-real-estate/"> real estate</a> is likely to bounce back from the pandemic grip as companies feel work from home is not sustainable and are positive about coming to offices. Moreover, companies in sectors of Tech, E-commerce, financial services, IT, and research &amp; analytics are likely to open more in 2022.  Whereas, in the pandemic, the residential properties segment in direct real investment is witnessing a K-shaped recovery amid lower interest rates and a cut in stamp duties. A report released by credit information bureau CRIF High Mark says that the housing loan market has bounced back registering a y-o-y growth of 9.6 percent of portfolio outstanding (PoS) in the third quarter of FY2021.</span></p></div>

But, our article would like to draw the investor’s attention to SEBI’s new category of mutual funds – overnight funds introduced in 2018. </span></p><p><span style="font-weight: 400">According to the data released by the Association of Mutual Funds in India (AMFI), the net inflow of overnight funds was Rs 5932 crores. Moreover, this newly launched overnight fund’s overall market value or capital stands at Rs 89,293 crores as of 31st July 2021. The market value includes the returns a mutual fund has made on its investment. </span></p><h2><span style="font-weight: 400"> </span><b>What are overnight funds?</b></h2><p><span style="font-weight: 400">Overnight Funds are a new category of mutual funds that have a maturity period of one day. A fund manager invests the overnight funds in CBLOs (collateralized borrowing and lending obligation), overnight reverse repos, and other debt or money market securities that give returns within a day. </span></p><p><span style="font-weight: 400">In the meantime, if RBI brings any change in the interest rates, the prices will not be affected. </span></p><p><span style="font-weight: 400">The returns received within a single day of maturity will be reinvested by the fund managers to purchase more such new bonds or securities at new prices overnight, and this cycle repeats. </span></p><p><span style="font-weight: 400">Since these funds mature overnight, there are fewer chances of making capital gains or losses and remain unaffected by interest rate changes. It is therefore touted as the safest investment option in the mutual funds category. </span></p></div>

But, what are bonus shares and what ‘bonus’ does an investor get?</p><h2>What are bonus shares?</h2><p>Bonus shares are additional shares given to the existing shareholders without any additional cost. Firms follow the Indian retail shopper’s favourite scheme of ‘Buy One Get One free’ where a current shareholder will get free or additional shares based on the existing or earlier shares held in the company.</p><h2>Why do companies issue bonus shares?</h2><p>Bonus shares are issued by the companies when they are facing a financial crunch and are not able to pay dividends to their shareholders despite earning decent profits in a particular quarter. The profits earned are not sufficient to distribute as dividends. In such cases, these shares are issued in place of dividends.</p><p>Companies also issue bonus shares to capitalise on a part of the company’s retained earnings. Moreover, such shares are also issued to encourage retail participation and increase their equity base as an increase in the number of shares reduces the price allowing more investors to participate.</p><p>The bonus share distribution works in this way:</p><p>Suppose, an investor holds 300 shares in a company. These bonuses are issued from the following sources:</p><ul><li>Profit and Loss account</li><li>Capital reserves</li><li>Capital redemption reserves</li><li>Security premium account</li></ul><h3>Partly-Paid:</h3><p>Some shares in the company can be bought by an investor by not paying their full price which is called partially paid shares. The remaining amount is paid through instalment. But, when the partially paid shares are distributed as bonus shares, the partially paid shares of the investor are converted into fully paid shares. These shares are issued from the below sources:</p><ul><li>Investment allowance reserve</li><li>General reserve</li><li>Development rebate reserve</li></ul><h2>Who is eligible to purchase bonus shares?</h2><p>Investors who own a company’s shares before the ex-date and record date become eligible to receive bonus shares from the company.</p><p>Here, the record date is the date when the issuing company fixes a particular date to check its records to identify shareholders of the company eligible for receiving bonus shares. Ex-date is the date just a day before the record date set by the company. In India, the delivery of shares into a Demat account takes place two days after the trading date.</p><h2>Advantages to the investor for having bonus shares</h2><ul><li>Investors need not pay any tax while receiving bonus shares from the company.</li><li>Owning such shares is beneficial for long-term shareholders who want to double their investment.</li><li>Receiving bonus shares increases the share of an investor in the company and bolsters trust as the cash will be used by the company for its growth. This speaks for the company’s commitment towards long-term growth and liquidity of stocks.</li><li>If a company declares <a href="https://dutchuncles.in/academy/what-is-dividend-investment-for-long-term-growth/">dividend</a>, the bonus shareholders will receive a higher dividend due to a large number of shares held.</li></ul><h2>Disadvantages</h2><p>There are no disadvantages of owning bonus shares but an investor should know that profits received will be the same after receiving bonus shares. The earning per share will fall since the number of shares will be increased.</p></div>
